BY SIGNING THIS DOCUMENT, YOU WILL GIVE UP SUBSTANTIAL LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE. DO NOT SIGN THIS DOCUMENT UNLESS YOU HAVE READ IT IN ITS ENTIRETY AND FULLY UNDERSTAND ITS CONTENTS.

This Rider Waiver & Liability Release (the "Waiver") is a legally binding agreement between you (the "Rider" or "Participant") and Westlake Adventure Sports Inc., operating as Ridenet (collectively, the "Company," "we," "us," or "our"), together with our fleet operators, land partners, property owners, municipalities, affiliates, parent companies, related companies, sponsors, advertisers, lessors of premises, and their respective officers, directors, shareholders, employees, agents, volunteers, contractors, and representatives (collectively, the "Released Parties").

By signing this Waiver electronically through the Ridenet mobile application, you acknowledge that you have read, understood, and agree to be bound by all of the terms and conditions set forth herein. This Waiver applies to all e-bike rentals, electric mobility activities, watersports, adventure activities, and any other services or activities offered by or associated with Westlake Adventure Sports Inc. and the Ridenet platform (collectively, the "Activities").

In this Waiver, "Westlake Adventure Sports" means Westlake Adventure Sports Inc., and all related companies, affiliates, employees, agents, directors, and/or officers.

1. Eligibility

The following eligibility requirements must be met before participating in any Activities. It is the Rider's sole responsibility to confirm that they meet all eligibility requirements before each rental or activity session.

1.1 Age Requirements

Booking and payment: You must be at least eighteen (18) years of age to create a booking, make a payment, or enter into any rental agreement through the Platform.
Riding: In the Province of Ontario, riders must be at least sixteen (16) years of age to operate an e-bike. However, age requirements may differ by region, municipality, and jurisdiction. It is the Rider's sole responsibility to know and comply with the minimum age requirement that applies in their location.
Riders aged 16–17 may participate as riders on a booking made by an adult (18+) who accepts full responsibility for the minor's participation as set out in Section 16 (Minor Participants). The adult booker must have read, understood, and agreed to this Waiver on the minor's behalf.
Ridenet reserves the right to require proof of age at any time. The Rider must hold a valid government-issued photo identification and, where required by local law, a valid driver's licence.

1.2 Account and Payment Requirements

The Rider must have a registered Ridenet account in good standing.
The Rider must have a valid payment method on file capable of supporting pre-authorization holds and charges.
The Rider must not have been previously suspended or permanently banned from the platform.

1.3 Emergency Contact

The Rider must provide a current emergency contact name and phone number in their Ridenet account profile before their first rental. The Rider is responsible for keeping this information up to date. In the event of an accident, injury, or medical emergency where the Rider is unable to communicate, the Company and emergency medical personnel are authorized to contact the designated emergency contact person to inform them of the situation.

1.4 Waivers and Agreements

The Rider must have signed this Waiver electronically through the Ridenet mobile application.
The Rider must have read and agreed to the Ridenet Terms of Service, Privacy Policy, and any supplementary terms presented by the applicable Fleet Operator.
The Rider must have been given access to and had the opportunity to read the Ridenet Safe Riding Guide.

1.5 Language Comprehension

The Rider confirms that they understand the English language sufficiently to read, comprehend, and be bound by the terms of this Waiver. If the Rider's first language is not English, the Rider confirms that they have had this Waiver translated or explained to them in a language they fully understand before signing, and that they are satisfied with their understanding of its contents.

2. Self-Evaluation of Fitness to Ride

IMPORTANT: RIDENET AND WESTLAKE ADVENTURE SPORTS INC. DO NOT EVALUATE, ASSESS, CERTIFY, OR GUARANTEE THE PHYSICAL OR MENTAL FITNESS OF ANY RIDER. The Company has no medical expertise, no ability to examine you, and no means of verifying your physical or mental condition. You are solely and entirely responsible for evaluating your own fitness to participate in the Activities.

The Rider certifies, represents, and warrants that all of the following statements are true at the time of each rental or activity session. If any of the following statements are not true, the Rider must not proceed with the rental and must not operate the e-bike:

2.1 Physical and Mental Fitness

(a) I am in adequate physical condition and health to safely operate an e-bike and participate in the Activities.
(b) I have no medical condition, disability, or impairment — whether physical or mental — that would prevent me from safely operating an e-bike or that would be aggravated by such activity.
(c) I have not been advised by a medical professional to refrain from riding a bicycle, operating an e-bike, or engaging in similar physical activity.
(d) I am not pregnant.
(e) I am not experiencing drowsiness, fatigue, dizziness, or any impaired, distracted, or unusual state of mind or body.
(f) I am confident in my ability to ride a standard pedal bicycle and have done so within the preceding twelve (12) months.
(g) I have sufficient physical coordination, balance, alertness, and reaction time to safely operate an e-bike and respond quickly to changing conditions.
(h) I am not apprehensive or have any unresolved concerns about my ability to safely operate the e-bike. If I do have concerns, I will raise them with the Fleet Operator or Ridenet support before proceeding.
(i) I am not aware of any event or circumstance that may arise during my rental that could cause abrupt distraction from safe operation of the e-bike.

2.2 Vision, Hearing, and Motor Function

(j) I can see clearly — with corrective lenses if needed — well enough to identify road hazards, read signs, and judge the distances and speeds of approaching vehicles.
(k) I can hear traffic, horns, emergency vehicle sirens, and verbal warnings from other road users. Hearing aids are acceptable; earbuds or headphones covering both ears during the ride are not.
(l) I can turn my head sufficiently to check over both shoulders for traffic behind me.
(m) I can grip the handlebars firmly with both hands and apply the brake levers with enough force to bring the e-bike to a complete stop.
(n) I can mount and dismount the e-bike without assistance.

2.3 Medical Conditions

(o) I have no history of seizures, epilepsy, or sudden unexplained loss of consciousness — or, if I do, my condition is well-controlled by medication and my doctor has not advised against cycling.
(p) I have no known cardiac condition that could cause sudden incapacitation — or, if I do, my cardiologist or physician has cleared me for moderate physical exertion.
(q) I do not suffer from vertigo, inner ear disorders, or balance disorders that could cause sudden loss of balance or spatial disorientation.
(r) I have no recent surgery, fracture, sprain, or open wound that could be aggravated by cycling, the vibrations of an e-bike, or a fall.

2.4 Sobriety and Alertness

(s) I am not under the influence of alcohol, cannabis, illegal drugs, prescription medications that impair motor skills or judgment, over-the-counter medications that cause drowsiness, or any other substance that may impair my ability to safely operate the e-bike.
(t) Although legal cases involving cyclists and alcohol consumption may classify cyclists differently than automobile drivers, Westlake Adventure Sports considers any evidence of intoxication above legal limits set by the Highway Traffic Act to render cycling unsafe. Intoxication, unsafe cycling, or disturbances of any kind while using our e-bikes is strictly prohibited and results in immediate termination of all services.

2.5 State of Readiness

(u) I am adequately hydrated and nourished. I have not been fasting for an extended period and I am not experiencing hunger, thirst, or low blood sugar that could impair my alertness or cause dizziness.
(v) I am not experiencing extreme emotional distress, grief, anxiety, or psychological upset that could impair my judgment, attention, or reaction time.
(w) I am wearing or carrying appropriate clothing and protection for the current weather conditions, including sun protection for extended rides in direct sunlight, and closed-toe footwear suitable for cycling.

2.6 Health and Communicable Disease

(x) I am healthy enough to participate and do not have symptoms of any transmittable disease, including but not limited to: feeling sick, coughing, sneezing, shortness of breath, fever, or generally not feeling well.
(y) I do not live with, and have not recently visited, a person or family member who has been diagnosed with or is suspected of having a communicable disease that could be transmitted through my participation in the Activities.
(z) I understand and acknowledge that participation in the Activities includes possible exposure to and illness from infectious diseases including but not limited to MRSA, influenza, COVID-19, and other communicable diseases. While personal discipline and hygiene practices may reduce this risk, the risk of serious illness and death from communicable disease exposure does exist.

2.7 E-Bike-Specific Acknowledgments

(aa) I understand that e-bikes are significantly heavier than regular bicycles — typically 20–30 kg (45–65 lbs) — and that this additional weight affects handling, balance, and braking distance. If the e-bike begins to tip, it is harder to recover than with a conventional bicycle.
(bb) I understand that e-bikes accelerate faster than conventional bicycles due to the electric motor, and that I should familiarize myself with the throttle and/or pedal-assist response in a safe, low-traffic area before riding in traffic or congested environments.
(cc) I understand that braking distance on an e-bike is longer than on a conventional bicycle due to higher speeds and greater weight, and that I must begin braking earlier than I would on a regular bicycle.
(dd) I will test the brakes, throttle, and assist modes of the specific e-bike assigned to me in a safe area before riding in traffic or on public roads.
(ee) I have read or been given access to the Ridenet Safe Riding Guide and understand the safety practices described therein.

2.8 Your Responsibility to Seek Professional Guidance

The Company is not qualified to assess your fitness to ride and makes no representations about your ability to safely participate. If you are uncertain about whether any of the above conditions apply to you, or if you do not know how to evaluate a health concern:

You should consult a qualified medical professional (such as your family physician, a sports medicine doctor, or a physiotherapist) before participating in any Activities. Only a qualified professional can properly evaluate your physical and mental readiness.
You may use the Ridenet AI chat assistant to help identify what type of professional you might consult for a specific concern (e.g., "Who should I talk to about riding with a knee injury?"). The AI assistant can suggest categories of professionals but cannot provide medical advice and its suggestions do not constitute a medical evaluation.
You may contact a Ridenet team member or Fleet Operator in person or at support@ridenet.ca for general guidance and assistance. Our staff can help with operational questions and can connect you with local resources, but they are not medical professionals and cannot evaluate your fitness to ride.
Ultimately, you — and you alone — are responsible for making the final determination about whether you are fit to participate. Neither Ridenet, Westlake Adventure Sports Inc., any Fleet Operator, nor any of their employees, agents, or AI systems bear any responsibility for your self-evaluation or your decision to participate.

THE FACT THAT YOU WERE PERMITTED TO CREATE AN ACCOUNT, COMPLETE A BOOKING, UNLOCK A VEHICLE, OR COMMENCE A RENTAL DOES NOT MEAN THAT RIDENET, WESTLAKE ADVENTURE SPORTS INC., OR ANY FLEET OPERATOR HAS EVALUATED, ASSESSED, CERTIFIED, ENDORSED, OR APPROVED YOUR FITNESS, SOBRIETY, HEALTH, COMPETENCE, OR ABILITY TO SAFELY OPERATE A VEHICLE. The Company has no medical expertise, no ability to examine you, and no practical means of verifying your physical or mental condition. The Company cannot observe all Riders at all times and may be entirely unaware of your condition. Whether or not the Company exercises its right to refuse service (as described in the Rental Agreement), your fitness to ride remains solely and entirely your own responsibility under this Section 2.

3. Acknowledgment of Risks

The Rider acknowledges that the use of e-bikes and participation in the Activities involves inherent risks, dangers, and hazards that may result in serious personal injury, permanent disability, paralysis, or death, as well as property damage or loss. E-bikes are motorized vehicles capable of speeds up to 32 km/h (20 mph) or more and present unique operational risks beyond those associated with conventional bicycles.

The Rider specifically acknowledges, without limitation, the following risks:

Falls and Loss of Control: Loss of balance, loss of control of the e-bike, or ejection from the e-bike, including due to rider inexperience, road surface conditions, speed, sudden braking, tricks, stumbles, or bumps.
Overloading and Improper Riding Position: Additional weight, additional riders operating one bike, or even a single rider operating from a position other than the seat increases the risk of injury or death. Any manner of riding that deviates from normal operation of the vehicle increases these risks.
Collisions: Collisions with motor vehicles, pedestrians, cyclists, animals, fixed objects, or other obstacles, whether caused by the Rider, third parties, or environmental conditions. Participants may fall or land on each other or any surface.
Mechanical or Electrical Failure: Failure of brakes, tires, steering, motor, throttle, electrical systems, or any other component of the e-bike, whether due to manufacturing defects, wear and tear, improper maintenance, or any other cause. Equipment being used might malfunction.
Battery Hazards: Risks associated with lithium-ion batteries, including but not limited to overheating, thermal runaway, fire, explosion, or electrical shock.
Weather Conditions: Rain, snow, ice, fog, wind, extreme temperatures, reduced visibility, and any other adverse weather conditions that may impair the Rider's ability to safely operate the e-bike.
Terrain and Road Conditions: Uneven surfaces, potholes, gravel, sand, mud, wet pavement, steep grades, construction zones, railroad crossings, and unmarked hazards on roads, trails, or paths. Cuts, bruises, muscle and joint sprains and strains, and broken bones may result from terrain conditions.
Wildlife: Encounters with wildlife, domestic animals, or insects that may startle the Rider or obstruct the riding path.
Other Road Users: The negligent, reckless, or intentional actions of other motorists, cyclists, pedestrians, or persons in the vicinity of the Rider.
Theft and Vandalism: Theft of or damage to the e-bike while in the Rider's possession.
Reduced Lighting and Night Activities: Participation in activities during twilight, nighttime, or in areas with reduced lighting entails additional and unique risks due to reduced visibility. Reduced lighting can affect depth perception and visibility and may cause the Rider to fall, slip, misstep, collide with other persons, or collide with equipment or obstacles.
Shared Spaces: The sites where Activities occur may be on shared spaces with other users, property owners, or members of the public who do not wish to be interacted with or approached. Staging, pickup, and drop-off locations may differ, and routes may be loop-style rather than out-and-back.
Route and Trail Conditions: Routes, maps, and directions displayed in the Ridenet mobile application are for general reference only and may not reflect current real-world conditions, including but not limited to road closures, construction, seasonal trail changes, bridge or path damage, detours, or temporary hazards. The Company does not guarantee the accuracy, completeness, or safety of any route information provided through the platform.
Communicable Disease Exposure: Possible exposure to and illness from infectious diseases including but not limited to MRSA, influenza, and COVID-19. While personal discipline may reduce this risk, the risk of serious illness and death does exist.
Staff Limitations: Westlake Adventure Sports and Ridenet employees and Fleet Operators seek to create a safe environment, but they are not perfect. They might be unaware of a participant's health or abilities. They may give incomplete warnings or instructions. They cannot watch all participants at all times.
No Guarantee of Rescue or Roadside Assistance: In the event of a mechanical failure, battery depletion, accident, or other incident that leaves the Rider stranded, the Company does not guarantee response time, rescue, towing, or roadside assistance. The Rider may need to arrange their own transportation, especially in rural, remote, or low-coverage areas. The Rider should plan their route with this possibility in mind and carry a charged mobile phone at all times.
Unforeseen Hazards: Any other risks, dangers, and hazards that are not specifically enumerated herein but are inherent in or related to the operation of an e-bike or participation in the Activities.

The Rider understands that these risks simply cannot be eliminated without jeopardizing the essential qualities of the Activities. The Rider voluntarily accepts and assumes all of the risks associated with the Activities and chooses to participate despite the risks.

4. Assumption of Risk

The Rider voluntarily assumes all risks associated with the use of e-bikes rented through the Ridenet platform and all Activities, whether known or unknown, foreseeable or unforeseeable, including but not limited to the risks described in Section 3 above. The Rider knowingly and freely assumes all such risks, even if arising from the negligence of the Released Parties or others, and assumes full responsibility for any injury, loss, or damage suffered by the Rider or caused by the Rider to any third party.

The Rider understands that these risks may result in serious bodily injury, permanent disability, paralysis, death, emotional injury, or property damage, and the Rider freely and voluntarily assumes all such risks and accepts full responsibility.

The Rider expressly agrees that this assumption of risk is intended to be as broad and inclusive as is permitted by the laws of the Province of Ontario and that if any portion thereof is held invalid, the remainder shall continue in full legal force and effect.

5. Release of Liability

In consideration of being permitted to rent and operate an e-bike through the Ridenet platform and participate in the Activities, the Rider, on behalf of themselves and their heirs, executors, administrators, assigns, personal representatives, spouse, and next of kin, hereby:

RELEASES, WAIVES, DISCHARGES, AND COVENANTS NOT TO SUE the Released Parties — including Westlake Adventure Sports Inc. (operating as Ridenet), its fleet operators, land partners, property owners, municipalities, parent companies, affiliated entities, sponsors, advertisers, lessors of premises, and their respective officers, directors, shareholders, employees, agents, volunteers, contractors, and representatives — from any and all liability, claims, demands, causes of action, damages, costs, expenses (including legal fees), and judgments of every kind and nature, whether known or unknown, suspected or unsuspected, which the Rider now has or may hereafter have, arising out of or in any way connected with the Rider's participation in the Activities, including but not limited to:

Personal injury, illness, emotional injury, disability, paralysis, or death;
Property damage or loss;
Economic loss or consequential damages;
Claims arising from the ordinary negligence of any of the Released Parties;
Claims arising from defective equipment, inadequate maintenance, or failure to warn of hazards;
Claims arising from the actions or omissions of third parties, including other riders, motorists, or pedestrians;
Claims arising from exposure to communicable diseases;
Claims arising from breach of contract, breach of any other duty of care, or breach of the Occupiers' Liability Act, R.S.O. 1990, c. O.2.

The Rider agrees to give up their right to sue Westlake Adventure Sports Inc. and the Released Parties for any damage, expense, physical or emotional injury, paralysis, or death that the Rider or their family or estate may suffer as a result of participation in the Activities, due to any cause whatsoever, including the Company's ordinary negligence, failure to warn, or failure to protect the Rider from risks.

This release is intended to be a complete and unconditional release of all liability to the greatest extent allowed by law. The Rider understands that this release means the Rider is giving up the right to bring any claims, including claims for ordinary negligence, against the Released Parties.

5.1 Carve-out for Gross Negligence and Willful Misconduct

Notwithstanding any other provision of this Waiver, this release does NOT waive, and the Rider does NOT release, claims arising from the gross negligence, willful misconduct, or intentional acts of any of the Released Parties. Where applicable law (including but not limited to the law of the Province of Ontario) prohibits a release of liability for gross negligence or willful misconduct, that prohibition governs and the corresponding portion of this release is severable. The remainder of this Waiver — including the release of liability for ordinary negligence — continues in full force and effect.

6. Indemnification

The Rider agrees to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and court costs) arising out of or in any way connected with:

The Rider's use or misuse of the e-bike or participation in the Activities;
Any injury to or death of any person caused or contributed to by the Rider;
Any damage to or destruction of property caused or contributed to by the Rider;
Any violation of applicable laws, regulations, or ordinances by the Rider;
Any breach of this Waiver by the Rider;
Any claim brought by a third party arising from the Rider's actions or omissions while using the e-bike or participating in the Activities;
Any damage, expense, injury, or death caused to any third party as a result of the Rider's or the Rider's minor child's participation in the Activities.

This indemnification obligation shall survive the termination of the Rider's rental and the expiration of this Waiver.

7. Equipment Responsibility

The Rider acknowledges that, upon taking possession of the e-bike, they accept the vehicle in its present condition and deem it to be in safe, working order suitable for use. The Rider agrees to:

Inspect the e-bike before each use and immediately report any defects, damage, or mechanical issues to Ridenet through the mobile application or by contacting support@ridenet.ca;
Not operate any e-bike that appears unsafe, damaged, or defective;
Ride extra cautiously while becoming accustomed to the specific e-bike;
Use the e-bike only for its intended purpose and in accordance with the manufacturer's guidelines and all applicable laws;
Return the e-bike to a designated drop-off location in the same condition as received, subject to normal wear and tear;
Be financially responsible for any damage to, theft of, or loss of the e-bike occurring during the rental period, including the cost of repair or replacement at the Company's sole discretion;
Not attempt to repair, modify, tamper with, or disassemble any part of the e-bike, including the motor, battery, electronics, locking mechanism, GPS tracking device, speed limiters, or IoT systems.

8. Rules of Use

The Rider agrees to comply with the following rules at all times while operating an e-bike rented through Ridenet:

Helmet Required: The Rider must wear a properly fitted and fastened helmet that meets applicable safety standards (CSA, CPSC, ASTM, or Snell certified) at all times while operating the e-bike. Failure to wear a helmet may significantly reduce or eliminate any recovery the Rider could otherwise seek against the Released Parties under principles of comparative or contributory negligence, and constitutes a breach of this Waiver. It does NOT, however, by itself invalidate the Rider's other obligations under this Waiver.
No Impairment: The Rider shall not operate the e-bike while under the influence of alcohol, cannabis, illegal drugs, prescription medications that impair motor skills or judgment, or any other substance that may impair the Rider's ability to safely operate the vehicle.
Traffic Laws: The Rider must obey all applicable federal, provincial, and municipal traffic laws, regulations, by-laws, and ordinances, including speed limits, traffic signals, right-of-way rules, and designated cycling infrastructure requirements. E-bikes are not exempt from the Highway Traffic Act or any provincial equivalent.
Operating Area: The Rider must operate the e-bike only within the designated operating area (geofence) as displayed in the Ridenet mobile application. Leaving the operating area may result in automatic speed reduction, vehicle shutdown, additional charges, or service suspension.
No Unauthorized Passengers — One Rider Per Vehicle: The e-bike is designed for single-rider use only. The Rider shall not carry passengers, tow other vehicles or objects, or allow any other person to operate the e-bike. The Rider shall likewise not carry children, animals, or cargo in excess of the vehicle's rated capacity. Vehicles that support multiple riders will be explicitly identified as such in the Ridenet mobile application or in the vehicle's posted description; all other vehicles are single-rider vehicles unless expressly stated otherwise. Regardless of how many riders are invited to sign a waiver or are granted the ability to unlock a vehicle, the number of permitted riders per vehicle does not change. Additional weight, additional riders operating one bike, or even a single rider operating from a position other than the seat increases the risk of injury or death. Never ride in a way that deviates from normal operation.
No Lending: The Rider must not lend, share, or otherwise make the e-bike available to any other person during the rental period, whether or not that person is part of the Rider's group.
No Modifications: The Rider shall not modify, alter, or tamper with any component of the e-bike, including removing or disabling safety features, GPS tracking, speed limiters, or the IoT locking mechanism.
Respect Shared Spaces: The Rider must be respectful of other users of shared spaces, private property, and public areas where Activities occur. The Rider must not approach, disturb, or interact with other property users who do not wish to be engaged.
Observe Signage and Rules: The Rider must follow all posted signage, Fleet Operator instructions, and facility rules at all times.
Compliance with Health Protocols: The Rider agrees to comply with any stated and customary terms and conditions for participation with respect to protection against infectious diseases. If the Rider observes any unusual or significant health hazard during their participation, they will remove themselves from participation immediately and bring the concern to the attention of the Fleet Operator or Ridenet support.

9. GPS and Telemetry Tracking Consent

The Rider acknowledges and consents to the following: each e-bike rented through the Ridenet platform is equipped with GPS tracking, cellular connectivity, and IoT telemetry systems that transmit real-time data to the Company's servers during the rental period and at periodic intervals when idle. This data includes the Vehicle's GPS coordinates, speed, route taken, battery level, lock/unlock status, and other operational telemetry.

This tracking is used for fleet management, theft prevention, geofence enforcement, safety monitoring, billing, and dispute resolution. The Rider consents to this tracking as a condition of the rental. For full details on how this data is collected, used, and shared, please refer to the Ridenet Privacy Policy.

10. Right to Refuse Service

Ridenet, Westlake Adventure Sports Inc., and any Fleet Operator reserve the absolute right to refuse, cancel, or terminate any rental or activity session at any time, with or without notice, if in their sole judgment:

The Rider appears to be impaired by alcohol, drugs, or any substance;
Weather conditions are or become unsafe for riding;
The Rider is engaging in unsafe, reckless, or aggressive behaviour;
The Rider appears unfit, unwell, or incapable of safely operating the e-bike;
The Rider has violated any provision of this Waiver, the Rules of Use, or the Terms of Service;
Any other condition exists that, in the sole judgment of the Company or Fleet Operator, poses a safety risk to the Rider, other persons, or property.

Such refusal, cancellation, or termination does not create any liability on the part of the Company or the Fleet Operator and does not entitle the Rider to a refund, except as may be required by applicable law or the Fleet Operator's stated cancellation policy. We would rather cancel a rental than respond to an accident report. If we refuse service, it is for your safety and the safety of others.

11. Medical Authorization

In the event that the Rider is injured or becomes ill during or as a result of the use of an e-bike or participation in the Activities and is unable to provide informed consent for medical treatment, the Rider hereby authorizes the Released Parties and any emergency medical personnel to obtain and provide such emergency medical care, first aid, hospitalization, and treatment as may be deemed necessary or advisable by qualified medical professionals. The Rider also authorizes the Company to contact the Rider's designated emergency contact as provided in their Ridenet account profile.

The Rider agrees to be financially responsible for all costs associated with such medical treatment, including ambulance services, emergency room visits, hospitalization, and any follow-up care. This authorization shall remain in effect for the duration of each rental period and activity session.

12. Communicable Disease Acknowledgment

The Rider acknowledges, understands, and agrees that:

Participation in the Activities includes possible exposure to and illness from infectious diseases including but not limited to MRSA, influenza, COVID-19, and other communicable diseases, whether transmitted by other participants, staff, surfaces, equipment, or environmental conditions.
While particular rules, personal discipline, and hygiene practices may reduce the risk of communicable disease transmission, the risk of serious illness and death does exist.
The Rider knowingly and freely assumes all such risks, both known and unknown, even if arising from the negligence of the Released Parties or others, and assumes full responsibility for their participation.
The Rider, on behalf of themselves and their heirs, assigns, personal representatives, spouse, and next of kin, hereby releases and holds harmless the Released Parties with respect to any and all illness, disability, death, or loss or damage to person or property related to communicable disease exposure, whether arising from the negligence of the Released Parties or otherwise, to the fullest extent permitted by law.

13. Insurance and Personal Property

13.1 No Insurance Provided

The Rider acknowledges that the Company does not provide personal accident insurance, health insurance, or medical coverage of any kind to Riders. The Rider is solely responsible for obtaining any insurance coverage they deem necessary or advisable, including health insurance, personal accident insurance, and third-party liability insurance. The Rider is encouraged to verify that their existing insurance policies provide adequate coverage for injuries or losses that may arise from participation in the Activities.

13.2 Personal Property

The Company is not responsible for any personal property — including but not limited to mobile phones, bags, wallets, keys, clothing, glasses, cameras, jewellery, or any other personal belongings — that is lost, damaged, stolen, or destroyed during the Rider's participation in the Activities, whether carried on the Rider's person, attached to the e-bike, or left at any staging, pickup, or drop-off location. The Rider participates with personal property entirely at their own risk.

14. Arbitration and Class Action Waiver

14.1 Arbitration

Any dispute, controversy, or claim arising out of or relating to this Waiver, the Activities, or the Rider's use of the Ridenet platform, including the breach, termination, or invalidity of this Waiver, that cannot be resolved through good-faith negotiation within thirty (30) days of written notice of the dispute, shall be finally resolved by binding arbitration administered in accordance with the Arbitration Act, 1991 (Ontario). The arbitration shall take place in the Province of Ontario. The language of the arbitration shall be English. The decision of the arbitrator shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction.

14.2 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE RIDER AGREES THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE RIDER WAIVES ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST RIDENET, WESTLAKE ADVENTURE SPORTS INC., OR ANY OF THE RELEASED PARTIES. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void, and the dispute shall be resolved by the courts of the Province of Ontario.

14.3 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or to address urgent safety concerns.

15. Limitation of Claims Period

Any legal action or proceeding relating to this Waiver or arising out of or in connection with the Rider's participation in the Activities must be commenced within one (1) year from the date of the incident giving rise to the claim, failing which such claim shall be forever barred.

16. Minor Participants

If this Waiver is being signed on behalf of a minor (a person under the age of 18), the parent or legal guardian signing on behalf of the minor confirms and agrees that:

They are the minor's parent or legal guardian, or they otherwise have legal authority to sign this Waiver on behalf of the minor.
They have read this Waiver in its entirety and have explained its provisions to the minor, including the risks of participation and the minor's personal responsibilities for adhering to all rules and safety requirements.
They have assessed the risks associated with the Activities in light of the specific abilities, physical condition, and circumstances of the minor, and they voluntarily allow the minor to participate in the Activities despite the risks.
If the minor is injured, becomes ill, or causes injury or damage during the Activities, the parent or legal guardian accepts all responsibility and liability for such injuries, illness, or damage.
The parent or legal guardian agrees, on behalf of themselves, the minor, and the minor's heirs, assigns, personal representatives, and next of kin, to all provisions of this Waiver including the Assumption of Risk (Section 4), Release of Liability (Section 5), Indemnification (Section 6), and Communicable Disease Acknowledgment (Section 12), as they apply to the minor's participation.
The parent or legal guardian agrees to indemnify and hold harmless the Released Parties from any and all claims arising from the minor's participation in the Activities, including claims brought by or on behalf of the minor.

17. Photography and Media

The Rider consents to the Company's use of photographs, video recordings, or other media captured during the Activities for promotional, marketing, educational, and operational purposes, unless the Rider notifies the Company in writing at privacy@ridenet.ca prior to participating.

18. Governing Law and Jurisdiction

This Waiver shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Subject to the arbitration provisions in Section 14, the Rider irrevocably submits to the exclusive jurisdiction of the courts of the Province of Ontario for any dispute, claim, or proceeding arising out of or in connection with this Waiver.

18.1 Multi-Jurisdiction Carve-out

For Riders resident in the Province of Quebec: Quebec is a civil-law jurisdiction and certain provisions of this Waiver — including waivers of liability and pre-dispute arbitration clauses — may be subject to or limited by the Civil Code of Quebec and the Consumer Protection Act (CQLR c P-40.1). To the extent local Quebec law materially restricts any provision of this Waiver, that local law governs the affected provision; the remainder of this Waiver continues in full force and effect. Quebec residents may bring proceedings in Quebec courts where Quebec law requires.

For Riders resident outside the Province of Ontario (including British Columbia, Alberta, the other Canadian provinces and territories, and any Rider domiciled outside of Canada): where a mandatory rule of the Rider's home jurisdiction materially restricts a liability waiver, arbitration clause, class-action waiver, or consumer-protection right contained in this Waiver, that mandatory rule governs the conflicting provision. The remainder of this Waiver continues unaffected. The Rider's submission to the courts of Ontario in this Section 18 does not preclude the Rider from invoking a non-waivable consumer-protection right available under their home jurisdiction's law.

19. Severability

If any provision of this Waiver is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if such modification is not possible, such provision shall be severed from this Waiver. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions of this Waiver, all of which shall continue in full force and effect.

20. No Verbal Representations and Staff Interaction Disclaimer

20.1 No Verbal or Written Representations

The Rider acknowledges that no employee, agent, representative, Fleet Operator, or contractor of Westlake Adventure Sports Inc. or Ridenet has made any verbal or written representation, promise, assurance, or guarantee — regarding the safety of the Activities, the condition of any e-bike, the Rider's fitness to ride, insurance coverage, or any other matter — that is not expressly set forth in this Waiver. The Rider has not relied on any statement made by any person affiliated with the Company in deciding to sign this Waiver or participate in the Activities. This Waiver may not be modified, amended, or waived verbally. Any modification must be in writing and signed by an authorized officer of Westlake Adventure Sports Inc.

20.2 Staff Interactions Are Best-Effort and Non-Professional

The Rider acknowledges and agrees that any assistance, advice, comment, demonstration, instruction, communication, or interaction provided in person, by phone, by text, by chat, by email, or by any other means by any Ridenet or Fleet Operator employee, agent, volunteer, contractor, or representative is offered as a friendly, best-effort gesture only and is not a professional service, expert opinion, certification, inspection, supervision, warranty, or guarantee of any kind. In particular, and without limitation:

(a) Staff are not trained mechanics, engineers, or e-bike technicians, and any comment they make about the apparent condition of an e-bike — including its tires, brakes, battery, motor, frame, electronics, or any other component — is a casual observation, not a mechanical inspection or certification of safety, roadworthiness, or fitness for use.
(b) Staff are not medical professionals, fitness assessors, or licensing authorities, and have no ability or authority to evaluate, certify, endorse, or approve the Rider's physical or mental fitness, sobriety, competence, experience, or ability to safely operate an e-bike. The Rider's fitness to ride remains the Rider's sole responsibility under Section 2.
(c) The fact that a staff member is physically present at a fleet location, has interacted with the Rider, has handed the Rider a vehicle, or has assisted the Rider with a question, app issue, helmet fit, route suggestion, or rental does not constitute an inspection of the e-bike, an approval of the Rider, an assumption of responsibility for the ride, or any form of supervision, instruction, or warranty by the Released Parties.
(d) Staff may not be available at all times, may not be reachable, may give incomplete or incorrect information, and may decline to assist for any reason or no reason. The Rider must not rely on staff availability or assistance as a safety mechanism, and must be capable of completing the rental safely without staff intervention.
(e) Nothing said or done by any staff member shall be construed as modifying, waiving, expanding, or limiting any provision of this Waiver, including the assumption of risk in Section 4 and the release of liability in Section 5. The Released Parties' liability for staff conduct (whether by act or omission) is released to the fullest extent permitted by law.

The Rider expressly waives any claim that staff presence, interaction, or assistance gave rise to a duty of care, a representation of safety, or any reliance interest beyond that already disclaimed in Section 20.1 above.

21. Waiver Updates and Re-Signing

This Waiver shall remain in effect for all subsequent e-bike rentals and Activities made through the Ridenet platform until such time as the Waiver is materially updated. If we make material changes to this Waiver, we will notify the Rider through the Ridenet mobile application and/or by email to the address associated with the Rider's account. The Rider will be required to review and re-sign the updated Waiver before their next rental. If the Rider does not agree to the updated Waiver, the Rider will not be permitted to rent an e-bike or participate in Activities until the updated Waiver is signed.

22. Entire Agreement and Incorporation

This Waiver, together with the Ridenet Terms of Service, Privacy Policy, Rental Agreement, End User License Agreement, Safe Riding Guide, and any applicable Fleet Operator supplementary terms, constitutes the entire agreement between the Rider and the Company with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, proposals, agreements, and understandings, whether written or oral, between the Rider and the Company relating to the same subject matter. In the event of a conflict or inconsistency between these documents, the order of precedence set forth in the EULA (Document Hierarchy) shall apply.

This Waiver is binding upon the Rider and their heirs, executors, administrators, assigns, personal representatives, spouse, and next of kin.

23. Electronic Signature

The Rider acknowledges and agrees that by signing this Waiver electronically through the Ridenet mobile application, such electronic signature constitutes the Rider's legal signature and is legally binding and enforceable to the same extent as a handwritten signature. This electronic signature satisfies the requirements of the Electronic Commerce Act, 2000 (Ontario), the federal Personal Information Protection and Electronic Documents Act (PIPEDA), the Uniform Electronic Commerce Act (UECA) as adopted by the Rider's home province, and any other applicable electronic signature legislation. The Rider waives any right to challenge the validity or enforceability of this Waiver solely on the basis that it was executed electronically.

Affirmative Acknowledgement. Prior to applying their signature, the Rider is required to explicitly acknowledge — by ticking a dedicated checkbox in the Ridenet mobile application labelled "I acknowledge that completing this onboarding constitutes my electronic signature, legally binding under applicable electronic-signature law" — that they understand the legal effect of an electronic signature. This affirmative tick is captured on the Rider's account record and made part of the audit trail for any later dispute. A signature applied without this prior tick is not valid under this Waiver, and the Rider must repeat onboarding to cure the omission.

24. Date and Signature

The Rider's signature, full legal name, and the date of acceptance are captured electronically via the Ridenet mobile application at the time of onboarding. By completing the electronic signature process within the app, the Rider confirms that they:

Have read this Waiver in its entirety and fully understand its contents;
Understand the English language sufficiently to comprehend this Waiver, or have had it translated or explained to their satisfaction;
Voluntarily agree to all terms and conditions set forth herein;
Understand that they are giving up substantial legal rights, including the right to sue the Released Parties;
Meet all eligibility requirements set out in Section 1;
Certify that all statements in Section 2 (Self-Evaluation of Fitness to Ride) are true at the time of signing;
Have provided a current emergency contact in their Ridenet account profile;
Have been given access to the Ridenet Safe Riding Guide;
Have not relied on any verbal representation from any employee, agent, or representative of the Company;
Acknowledge that any in-person help or interaction with Ridenet or Fleet Operator staff is a best-effort, friendly gesture and not a professional inspection, fitness assessment, or guarantee of safe operation (Section 20.2);
Are legally competent to enter into this agreement (or, if signing on behalf of a minor, are the minor's parent or legal guardian);
Acknowledge that this Waiver shall remain in effect for all subsequent rentals and Activities until updated and re-signed as described in Section 21;
Have not been induced, pressured, or coerced into signing this Waiver and do so freely and voluntarily.
