Rental Agreement

This Rental Agreement ("Agreement") is a legally binding contract entered into through the RideNet platform, operated by Westlake Adventure Sports Inc. ("Westlake"), doing business as RideNet. By completing a booking and unlocking a vehicle, the individual renting the vehicle ("Rider") acknowledges that they have read, understood, and agreed to all terms and conditions set forth herein.

1. Parties

This Agreement is between the following parties:

  • Rider: The individual identified by the account used to complete the booking. The Rider must be at least 18 years of age and hold a valid form of government-issued identification.
  • Fleet Operator: The business or individual that owns and maintains the rented vehicle(s), as identified on the booking confirmation. The Fleet Operator is responsible for the mechanical condition and roadworthiness of the vehicle.
  • RideNet (Platform): Westlake Adventure Sports Inc., operating as RideNet, acts solely as a technology facilitator connecting Riders with Fleet Operators. RideNet provides the booking platform, payment processing infrastructure, IoT vehicle management, and customer support coordination. RideNet is not a party to the rental itself and does not own, operate, or maintain the vehicles listed on the platform.

2. Rental Period

The rental period begins at the date and time specified in the Rider's booking confirmation and ends at the scheduled return time. The Rider is considered to have possession of the vehicle from the moment the vehicle is unlocked through the RideNet platform or mobile application until the vehicle is properly returned, locked, and confirmed as returned within the system.

  • Extensions: The Rider may request an extension of the rental period through the RideNet platform, subject to availability. Extensions are not guaranteed and will be charged at the applicable rate as displayed at the time of the extension request. If no extension is requested and approved, the original return time remains binding.
  • Early Returns: Returning a vehicle before the scheduled end of the rental period does not entitle the Rider to a partial refund unless the Fleet Operator's cancellation or refund policy expressly provides for one.
  • Grace Period: Fleet Operators may, at their sole discretion, offer a brief grace period beyond the scheduled return time. Any grace period will be displayed in the booking details. If no grace period is specified, late return charges apply immediately upon expiration of the rental period.

3. Pricing

All pricing is displayed to the Rider at the time of booking and is determined by the Fleet Operator. Pricing structures may include, but are not limited to, the following:

  • Per-Unit Rates: Hourly, half-day, or full-day rates as configured by the Fleet Operator for each vehicle type.
  • Multi-Day Discounts: Fleet Operators may offer reduced daily rates for bookings spanning multiple consecutive days. Such discounts, if available, will be reflected in the total price at checkout.
  • Unlock Fees: A one-time unlock or activation fee may be charged per vehicle, as set by the Fleet Operator. This fee is non-refundable once the vehicle has been unlocked.
  • Seasonal or Promotional Pricing: Fleet Operators may adjust pricing based on demand, season, or promotional campaigns. The price confirmed at the time of booking is the price the Rider will be charged.
  • Additional Fees: Fees for accessories, insurance add-ons, delivery, or other optional services may apply and will be itemised at checkout.

RideNet does not set, control, or guarantee the pricing offered by Fleet Operators. All prices are in the local currency as indicated at checkout.

4. Payment Terms

  • Payment Timing: Full payment is due at the time of booking unless the Fleet Operator has enabled a deposit-based or pay-later option. The booking is not confirmed until payment is successfully processed.
  • Payment Processing: All payments are processed securely through Stripe. RideNet does not store full credit card numbers or sensitive payment credentials. By completing a booking, the Rider authorises Stripe to charge the provided payment method for the total amount displayed at checkout.
  • Taxes: Harmonised Sales Tax (HST), Goods and Services Tax (GST), Provincial Sales Tax (PST), or other applicable taxes will be calculated and added to the booking total as required by law. The tax amount will be displayed before the Rider confirms payment.
  • Payment Method on File: By completing a booking, the Rider consents to having their payment method stored securely through Stripe for the purpose of processing additional charges that may arise under this Agreement, including but not limited to late return fees, damage charges, out-of-area fees, and improper parking fees.
  • Disputed Charges: The Rider may dispute any charge by contacting support@ridenet.ca within 14 days of the charge date. RideNet will coordinate with the Fleet Operator to investigate and resolve the dispute.

5. Cancellation Policy

Cancellation and refund policies are established by each Fleet Operator and may vary. The applicable cancellation policy for a given booking will be displayed to the Rider prior to confirming payment. General guidelines are as follows:

  • Fleet Operator Refund Schedule: Each Fleet Operator sets its own cancellation windows and corresponding refund percentages. Common structures include full refund if cancelled 24 or more hours before the rental start time, partial refund if cancelled within a shorter window, and no refund for cancellations made after the rental period has begun.
  • No-Shows: If the Rider fails to arrive at the designated pickup location within the time specified in the booking (or within any grace period offered by the Fleet Operator), the booking will be treated as a no-show and the full rental amount will be forfeited. No refund will be issued for no-show bookings.
  • RideNet Processing Fee: A platform processing fee may be retained by RideNet on all bookings, regardless of cancellation. This fee, if applicable, will be disclosed at the time of booking and is non-refundable.
  • Weather and Force Majeure: RideNet and Fleet Operators are not obligated to issue refunds for cancellations due to weather conditions, natural disasters, government orders, or other force majeure events, unless the Fleet Operator's policy expressly provides otherwise.
  • How to Cancel: Cancellations may be submitted through the RideNet platform or by contacting support@ridenet.ca. The effective cancellation time is the time the cancellation request is received and confirmed by the system.

6. Late Returns

The Rider is responsible for returning the vehicle by the scheduled return time as specified in the booking confirmation. Failure to return the vehicle on time constitutes a late return and will result in the following consequences:

  • Late Charges: The Rider will be charged at the applicable per-unit rate (e.g., hourly or per-minute rate) for the duration of the overage, calculated from the scheduled return time until the vehicle is properly returned and locked. Late charges will be automatically applied to the Rider's payment method on file.
  • Remote Locking: If the vehicle is not returned within a reasonable period beyond the scheduled return time, RideNet or the Fleet Operator reserves the right to remotely lock the vehicle via the IoT system to prevent further use. The Rider remains responsible for all charges accrued up to and including the time of remote locking, as well as any costs associated with recovering the vehicle.
  • Excessive Late Returns: A return that exceeds four (4) hours past the scheduled return time without prior communication or approved extension may be treated as an unauthorised use of the vehicle. In such cases, the Fleet Operator may report the vehicle as missing and seek additional remedies, including but not limited to recovery fees and legal action.
  • Account Penalties: Repeated late returns may result in restrictions on the Rider's account, including temporary suspension or permanent termination at RideNet's discretion.

7. Damage and Loss

The Rider assumes full responsibility for the vehicle from the moment it is unlocked until it is properly returned and confirmed as received. This includes responsibility for all damage, theft, loss, or destruction of the vehicle during the rental period, regardless of fault.

  • Damage Liability: The Rider is liable for the full cost of repairing any damage sustained to the vehicle during the rental period that was not reported as pre-existing at the time of pickup. This includes damage to the frame, motor, battery, electronics, tires, accessories, and any aftermarket equipment.
  • Loss or Theft: In the event of theft or total loss of the vehicle, the Rider is liable for the full replacement cost of the vehicle as determined by the Fleet Operator. The Rider must immediately report any theft to local law enforcement and provide RideNet with a copy of the police report.
  • Damage Assessment: The Fleet Operator will conduct a damage assessment upon return of the vehicle. The Fleet Operator may use photographic evidence, telemetry data, and physical inspection to determine the nature and extent of any damage. The Rider will be notified of the assessment results and the associated repair or replacement costs.
  • Charges to Payment Method: By entering into this Agreement, the Rider authorises RideNet to charge the payment method on file for any damage or loss costs as assessed by the Fleet Operator. The Rider will be provided with an itemised statement of charges prior to or at the time the charge is processed.
  • Disputes: The Rider may dispute a damage assessment by contacting support@ridenet.ca within 7 days of receiving the damage notification. RideNet will facilitate a review process between the Rider and the Fleet Operator. Pending resolution of a dispute, charges may still be applied.

8. Vehicle Condition and Inspection

The Rider is responsible for inspecting the vehicle prior to use. Unlocking and operating the vehicle constitutes acceptance of the vehicle in its current condition.

  • Pre-Ride Inspection: Before riding, the Rider must visually inspect the vehicle for any obvious defects, including but not limited to tire condition, brake function, handlebar alignment, frame integrity, battery charge level, and the condition of lights and reflectors.
  • Reporting Pre-Existing Damage: If the Rider discovers any pre-existing damage or mechanical issues, the Rider must report them through the RideNet platform or by contacting the Fleet Operator before operating the vehicle. Failure to report pre-existing damage may result in the Rider being held responsible for such damage upon return.
  • "As-Is" Acceptance: Upon unlocking the vehicle, the Rider accepts the vehicle "as-is" and acknowledges that neither RideNet nor the Fleet Operator makes any express or implied warranty regarding the vehicle's fitness for a particular purpose beyond the Fleet Operator's obligation to provide a vehicle in safe working order.
  • Mechanical Failure During Rental: If the vehicle experiences a mechanical failure during the rental period that is not attributable to Rider misuse, the Rider should cease operating the vehicle, secure it safely, and contact the Fleet Operator or RideNet support. The Fleet Operator will determine, at its discretion, whether to provide a replacement vehicle, issue a partial refund, or offer an alternative remedy.

9. Geofencing and Operating Area

Vehicles rented through the RideNet platform may be subject to geographic operating restrictions ("geofencing") as configured by the Fleet Operator. The Rider agrees to comply with all such restrictions.

  • Designated Operating Area: Each Fleet Operator defines a geographic boundary within which rented vehicles are intended to be operated. The operating area will be displayed to the Rider on the map within the RideNet platform or mobile application prior to and during the rental.
  • Out-of-Area Riding: Operating the vehicle outside the designated operating area may result in additional fees as determined by the Fleet Operator. The Rider will be notified via the application when approaching or crossing the boundary of the operating area.
  • Speed-Limited Zones: Certain areas within the operating boundary may be designated as slow zones, where the vehicle's maximum speed will be automatically reduced via the IoT system. Slow zones are typically implemented in pedestrian areas, school zones, high-traffic areas, or other locations where reduced speed is required for safety. The Rider must not attempt to circumvent or tamper with speed-limiting controls.
  • No-Ride Zones: Certain areas may be designated as no-ride zones where the vehicle's motor will be disabled. The Rider is responsible for being aware of and complying with all zone restrictions as displayed in the application.
  • Vehicle Recovery: If a vehicle is left outside the designated operating area, the Rider may be charged a recovery fee to cover the cost of retrieving and returning the vehicle to the operating area.

10. Parking and Return

The Rider must return the vehicle to a designated parking or return area as specified by the Fleet Operator. Proper return includes parking the vehicle in an upright position, engaging the lock through the RideNet platform, and confirming the return within the application.

  • Designated Parking Areas: Fleet Operators designate specific locations where vehicles must be returned. These locations are displayed on the map within the RideNet platform. The Rider must ensure the vehicle is within a designated parking area before ending the rental.
  • Improper Parking Fees: If the vehicle is returned outside a designated parking area, the Rider may be charged an improper parking fee as set by the Fleet Operator. This fee compensates for the cost of relocating the vehicle to a proper location.
  • Vehicle Abandonment: Leaving a vehicle in an unsafe, obstructive, or unauthorised location without ending the rental constitutes abandonment. Abandonment may result in additional fees, including but not limited to recovery charges, continued rental charges until the vehicle is retrieved, and potential account suspension.
  • Obstruction and Local Bylaws: The Rider must not park the vehicle in a manner that obstructs pedestrian walkways, wheelchair ramps, emergency exits, fire hydrants, or other restricted areas. Any fines or penalties levied by local authorities as a result of improper parking by the Rider will be the sole responsibility of the Rider.

11. Multi-Rider and Shared Rentals

A single booking may include multiple vehicles for use by multiple riders ("Shared Rental"). In all Shared Rental scenarios, the individual who completed the booking ("Booking Rider") bears primary responsibility for the conduct and obligations of all co-riders.

  • Booking Rider Responsibility: The Booking Rider is fully responsible for the actions, conduct, and compliance of all co-riders using vehicles under the same booking. This includes responsibility for damage caused by co-riders, late returns by co-riders, and any violations of this Agreement committed by co-riders.
  • Co-Rider Eligibility: All co-riders must meet the minimum age requirement of 18 years. The Booking Rider is responsible for ensuring that all co-riders are eligible and capable of safely operating the rented vehicles.
  • Co-Rider Conduct: Each co-rider must comply with all terms of this Agreement, all applicable traffic laws, and all geofencing and parking requirements. Any violation by a co-rider will be treated as a violation by the Booking Rider for the purposes of charges, penalties, and account actions.
  • Damage and Loss by Co-Riders: The Booking Rider's payment method on file will be charged for any damage, loss, or fees resulting from the actions of co-riders. The Booking Rider is encouraged to establish their own arrangements with co-riders regarding cost-sharing.
  • Assumption of Risk: The Booking Rider acknowledges and accepts the additional risk inherent in Shared Rentals and agrees to indemnify and hold harmless both the Fleet Operator and RideNet from any claims arising from the conduct of co-riders.

12. General Provisions

  • Governing Law: This Agreement is governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
  • Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • Entire Agreement: This Agreement, together with the RideNet Terms of Service and Privacy Policy, constitutes the entire agreement between the parties with respect to the rental transaction and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.
  • Amendments: RideNet reserves the right to modify this Agreement at any time. Updated terms will be posted on the RideNet platform and will apply to all bookings made after the date of publication. Continued use of the platform following any changes constitutes acceptance of the revised terms.
  • Waiver: The failure of any party to enforce any provision of this Agreement shall not be construed as a waiver of such provision or the right to enforce it at a later time.
