End User License Agreement

This End User License Agreement ("EULA" or "Agreement") is a legally binding contract between you ("User," "you," or "your") and Westlake Adventure Sports Inc., operating as RideNet ("Company," "we," "us," or "our"), governing your use of the RideNet mobile application ("App"). By downloading, installing, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms, do not download, install, or use the App.
1. License Grant
Subject to your compliance with this Agreement, Westlake Adventure Sports Inc. grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on a mobile device that you own or control, solely for your personal, non-commercial use in connection with the RideNet e-bike rental platform.
This license does not grant you any ownership interest in the App or any of its content. The App, including all intellectual property rights therein, remains the exclusive property of Westlake Adventure Sports Inc. and its licensors. We reserve all rights not expressly granted to you under this Agreement.
2. Restrictions
You agree that you will not:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying algorithms, or data structures of the App, except to the limited extent that applicable law expressly prohibits this restriction;
- Modify, adapt, translate, or create derivative works based on the App or any part thereof;
- Copy, reproduce, distribute, publicly display, publicly perform, sublicense, lease, lend, rent, or otherwise transfer or make available the App or any portion thereof to any third party;
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in or displayed by the App;
- Use the App for any unlawful purpose, or in any manner that could damage, disable, overburden, or impair our servers or networks;
- Use any automated means, including bots, scrapers, or spiders, to access or interact with the App;
- Attempt to gain unauthorized access to any portion of the App, other accounts, computer systems, or networks connected to the App through hacking, password mining, or any other means.
3. Account & Authentication
To use the App, you must create an account and provide accurate, complete, and current information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
The App may require or offer two-factor authentication (2FA) as an additional security measure. You agree to comply with any authentication requirements we implement to protect the security of your account and the platform.
If the App offers biometric authentication features (such as Face ID or fingerprint unlock), these features rely on your device's built-in biometric capabilities. RideNet does not collect, store, or process biometric data. All biometric authentication is handled entirely by your device's operating system, and biometric identifiers never leave your device or are transmitted to our servers.
You must notify us immediately at support@ridenet.ca if you suspect any unauthorized use of your account or any other breach of security.
4. Data Collection & Permissions
Your use of the App is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. By using the App, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.
The App may request access to certain features and data on your device. Specifically, the App may request the following permissions:
- Camera: Used for scanning QR codes on e-bikes to initiate and end rentals, and for identity verification purposes when required by fleet operators. Camera data is processed in real-time and is not stored on our servers beyond what is necessary for verification.
- Location (GPS): Used to display nearby available e-bikes on the map, provide navigation assistance, track active trips for billing and safety purposes, and enable fleet operators to monitor vehicle locations. Location data is collected while the App is in use and, during an active rental, may be collected in the background to ensure accurate trip tracking and vehicle recovery.
- Push Notifications: Used to send rental confirmations, trip status updates, payment receipts, low battery warnings, promotional offers, and important service announcements. You may disable push notifications at any time through your device's settings, though this may affect your ability to receive time-sensitive rental information.
You may revoke any of these permissions at any time through your device's settings. However, revoking certain permissions (such as camera or location access) may limit or prevent your ability to use core features of the App, including initiating rentals or locating available vehicles.
5. In-App Purchases & Rentals
The App allows you to browse available e-bikes, make rental reservations, and pay for rentals directly through the platform. All e-bike rentals purchased or initiated through the App are subject to the applicable Terms of Service and any rental agreement presented at the time of booking.
Rental pricing, availability, cancellation policies, and refund terms are set by individual fleet operators and displayed within the App at the time of booking. Payment is processed securely through our third-party payment processor at the time the rental is confirmed. You agree to pay all fees and charges associated with your rentals in accordance with the pricing and payment terms presented to you.
RideNet acts as a platform facilitating the transaction between you and the fleet operator. The rental agreement for each booking is between you and the respective fleet operator. For billing disputes or refund requests, please contact the fleet operator directly or reach out to support@ridenet.ca.
6. Third-Party Services
The App integrates with and relies upon certain third-party services to provide its functionality. These services include, but are not limited to:
- Convex: Real-time database and backend infrastructure for data storage, synchronization, and serverless functions.
- Stripe: Payment processing for rental transactions and in-app purchases. Your payment information is handled directly by Stripe in accordance with their security standards and terms of service.
- Google Maps Platform: Mapping, geocoding, and location-based services for displaying available vehicles, providing navigation, and rendering map interfaces.
- Expo (React Native): Application framework and over-the-air update delivery for the mobile app.
Your use of these third-party services is subject to the respective terms of service and privacy policies of each provider. RideNet is not responsible for the practices, content, or availability of any third-party services. We do not warrant or guarantee the performance, accuracy, or reliability of any third-party service integrated into the App.
7. Termination
This license is effective until terminated. Your rights under this Agreement will terminate automatically and without notice if you fail to comply with any term of this Agreement or the Terms of Service.
We may, at our sole discretion, suspend or terminate your license and access to the App at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to: violation of this Agreement or our Terms of Service, fraudulent or abusive activity, failure to pay for rentals, unsafe operation of e-bikes, or conduct that we reasonably determine is harmful to other users, fleet operators, or the platform.
You may terminate this Agreement at any time by deleting the App from your device and closing your RideNet account. Upon termination, you must cease all use of the App and destroy any copies in your possession.
Termination does not relieve you of any obligation to pay outstanding fees or charges incurred prior to termination. Sections 2, 6, 8, and 9 of this Agreement shall survive any termination.
8. Disclaimer of Warranties
THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WESTLAKE ADVENTURE SPORTS INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the App will be uninterrupted, timely, secure, or error-free, that the results obtained from use of the App will be accurate or reliable, or that any defects in the App will be corrected. The App may be subject to interruptions, delays, or outages due to maintenance, updates, network issues, server failures, or circumstances beyond our reasonable control.
You acknowledge that the App relies on network connectivity, GPS signals, and third-party services, all of which may be unavailable or inaccurate at times. RideNet does not guarantee the availability of any particular e-bike, the accuracy of vehicle location data, or the functionality of IoT lock devices at all times.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WESTLAKE ADVENTURE SPORTS INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE APP.
9. App Store Terms
If you downloaded the App from the Apple App Store or Google Play Store (each, an "App Store"), you acknowledge and agree to the following:
- This Agreement is between you and Westlake Adventure Sports Inc. only, and not with Apple Inc. ("Apple") or Google LLC ("Google"). Westlake Adventure Sports Inc. is solely responsible for the App and its content.
- Your use of the App must comply with the applicable App Store terms of service, including the Apple Media Services Terms and Conditions or the Google Play Terms of Service.
- The App Store provider has no obligation to furnish any maintenance or support services with respect to the App.
- In the event of any failure of the App to conform to any applicable warranty, you may notify the App Store provider, and the App Store provider may refund the purchase price of the App (if any) to you. To the maximum extent permitted by applicable law, the App Store provider will have no other warranty obligation with respect to the App.
- Westlake Adventure Sports Inc., and not the App Store provider, is responsible for addressing any claims by you or any third party relating to the App, including product liability claims, any claim that the App fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection, privacy, or similar legislation.
- In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Westlake Adventure Sports Inc., and not the App Store provider, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
- Apple and Google, and their respective subsidiaries, are third-party beneficiaries of this Agreement. Upon your acceptance of this Agreement, each App Store provider will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.
10. General Provisions
Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Entire Agreement. This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Westlake Adventure Sports Inc. with respect to your use of the App and supersedes all prior or contemporaneous understandings and agreements, whether written or oral.
Amendments. We reserve the right to modify this Agreement at any time. If we make material changes, we will notify you through the App or by other reasonable means. Your continued use of the App following notification of any changes constitutes your acceptance of the revised Agreement.
Waiver. No failure or delay by Westlake Adventure Sports Inc. in exercising any right under this Agreement shall constitute a waiver of that right.
