Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Westlake Adventure Sports Inc., operating as RideNet ("RideNet," "we," "us," or "our"). By accessing or using the RideNet platform, mobile application, or any related services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately discontinue use of the Platform and all Services.

THESE TERMS SET FORTH THE ENTIRE UNDERSTANDING AND AGREEMENT BETWEEN YOU AND RIDENET WITH RESPECT TO THE SUBJECT MATTER HEREOF. BY USING OUR SERVICES, YOU ARE ACCEPTING THE PRACTICES DESCRIBED IN THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT USE THE SERVICES. WE RESERVE THE RIGHT TO MODIFY OR AMEND THESE TERMS FROM TIME TO TIME WITHOUT NOTICE. YOUR CONTINUED USE OF OUR SERVICES FOLLOWING THE POSTING OF CHANGES TO THESE TERMS WILL MEAN YOU ACCEPT THOSE CHANGES. UNLESS WE PROVIDE YOU WITH SPECIFIC NOTICE, NO CHANGES TO OUR TERMS WILL APPLY RETROACTIVELY. For certain Services, you may also be required to execute a Rental Agreement, Waiver of Liability and Release, and/or acknowledge our Privacy Policy.


1. Definitions

For the purposes of these Terms, the following definitions apply:

  • "Platform" means the RideNet website, mobile application, application programming interfaces, and all related technology and infrastructure operated by Westlake Adventure Sports Inc. for the purpose of facilitating e-bike and electric-vehicle rentals.
  • "Rider" means any individual who creates an account on the Platform and uses the Services to rent, reserve, or operate a Vehicle.
  • "Fleet Operator" means any individual, business, or organization that lists Vehicles for rental on the Platform and enters into rental agreements with Riders through the Platform.
  • "Vehicle" means any electric bicycle, e-bike, electric scooter, or other electric-powered personal mobility device made available for rental through the Platform by a Fleet Operator.
  • "Rental Period" means the duration of time beginning when a Rider unlocks or takes possession of a Vehicle and ending when the Rider properly returns and locks the Vehicle at a designated return location, as recorded by the Platform.
  • "Services" means all services provided by RideNet through the Platform, including but not limited to Vehicle discovery, reservation, rental facilitation, payment processing, customer support, and any ancillary features or tools.
  • "User Content" means any content, text, images, reviews, comments, feedback, suggestions, or other materials submitted, posted, or transmitted by a user through or to the Platform.

2. Platform Role & No Assurance

RideNet operates as a technology marketplace and intermediary that connects Riders with Fleet Operators. The Platform facilitates the discovery, reservation, and rental of Vehicles, as well as the processing of payments between Riders and Fleet Operators.

It is important to understand that RideNet is not a party to the rental agreement between a Rider and a Fleet Operator. The rental contract is formed directly between the Rider and the Fleet Operator at the time a rental is confirmed. RideNet does not own, operate, maintain, or control the Vehicles listed on the Platform unless expressly stated otherwise.

RideNet does not guarantee the availability, condition, safety, or fitness for any particular purpose of any Vehicle listed on the Platform. While we take reasonable steps to verify Fleet Operators and enforce quality standards, Riders acknowledge that RideNet's role is limited to facilitating the transaction and providing the technology infrastructure through which rentals occur.

RIDENET DOES NOT GUARANTEE CONTINUOUS, UNINTERRUPTED, OR SECURE ACCESS TO THE PLATFORM OR SERVICES. OPERATION OF THE PLATFORM MAY BE INTERFERED WITH BY NUMEROUS FACTORS OUTSIDE OF RIDENET'S CONTROL.

No Assurance Regarding User Trust, Ratings, or Status. RideNet may, from time to time, implement trust scores, verification badges, ratings, rankings, reputation systems, or other indicators of user reliability or standing (collectively, "Trust Indicators") for Riders, Fleet Operators, or other users of the Platform. THE PRESENCE OF ANY TRUST INDICATOR DOES NOT CONSTITUTE A GUARANTEE, WARRANTY, ENDORSEMENT, OR ASSURANCE OF ANY KIND BY RIDENET REGARDING THE CONDUCT, CHARACTER, RELIABILITY, FINANCIAL RESPONSIBILITY, COMPETENCE, OR TRUSTWORTHINESS OF ANY USER. Trust Indicators are informational only and are based on limited data available to RideNet at a given time. A user who has received a high trust score, positive ratings, or verified status may still cause damage to property, act unethically, breach these Terms, act contrary to the best interests of RideNet, its Fleet Operators, or other users, or otherwise fail to meet any standard of conduct. RideNet expressly disclaims all liability for any loss, damage, injury, or harm arising from reliance on any Trust Indicator. You acknowledge that you assume all risk associated with interacting with any user of the Platform, regardless of their Trust Indicator status.


3. Eligibility

To use the Services and rent a Vehicle through the Platform, you must meet all of the following eligibility requirements:

  • You must be at least sixteen (16) years of age in the Province of Ontario to use the Services; however, age requirements may differ by region, municipality, and jurisdiction, and it is your sole responsibility to comply with the minimum age requirement in your location. Riders under the age of eighteen (18) must have a parent or legal guardian who has co-signed the Rider Waiver & Liability Release on their behalf. By creating an account, you represent and warrant that you meet the minimum age requirement applicable in your jurisdiction. RideNet reserves the right to request proof of age at any time.
  • You must possess a valid, government-issued photo identification document (such as a driver's licence, passport, or provincial identification card) and provide a copy or allow verification through the Platform upon request.
  • You must read, understand, and agree to any applicable liability waiver, assumption of risk agreement, or safety acknowledgment required by RideNet or the relevant Fleet Operator before commencing a rental.
  • You must have a valid payment method (credit card or debit card) registered on the Platform that is capable of supporting pre-authorization holds and charges as described in these Terms.
  • You must not have been previously suspended or permanently banned from the Platform for any reason.
  • Physical and Mental Fitness. You represent and warrant that at the time of each rental you: (a) are not pregnant; (b) are not experiencing drowsiness, fatigue, or any impaired or distracted state of mind; (c) have no mental or physical health condition that would inhibit your ability to safely ride a bicycle or operate a Vehicle; (d) have not been discouraged by a medical professional from riding a bicycle or engaging in similar physical activity; (e) are confident in your ability to safely ride a standard pedal bicycle and have done so within the preceding twelve (12) months; and (f) are not apprehensive or have any unresolved concerns about your ability to safely operate the Vehicle. If any of these conditions are not met at the time of rental, you must not proceed with the rental and must notify the Fleet Operator immediately.

4. Account Obligations

When creating and maintaining an account on the Platform, you agree to the following obligations:

  • Accurate Information. You must provide truthful, accurate, current, and complete information during registration and at all times thereafter. You are responsible for promptly updating your account information if any details change, including your name, contact information, and payment method. If you provide any information that is false, inaccurate, not current, or incomplete, or RideNet has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, RideNet has the right, in its sole discretion, to suspend or terminate your account and refuse any and all current or future use of the Services.
  • Account Security. You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any authentication tokens. You must immediately notify RideNet at legal@ridenet.ca if you suspect any unauthorized access to or use of your account. You are liable for all activity that occurs under your account, whether or not authorized by you, including any access by third parties using your credentials.
  • One Account Per Person. Each individual may maintain only one (1) account on the Platform. Creating multiple accounts is prohibited and may result in the suspension or termination of all associated accounts without notice.
  • Non-Transferability. Your account is personal to you and may not be transferred, assigned, or shared with any other person. You may not allow any other individual to use your account to access the Services or rent a Vehicle.

5. Rider Obligations

By renting and operating a Vehicle through the Platform, you agree to the following obligations during every Rental Period:

  • Compliance with Laws. You must obey all applicable federal, provincial, and municipal traffic laws, regulations, ordinances, and bylaws while operating a Vehicle, including but not limited to speed limits, traffic signals, right-of-way rules, designated cycling infrastructure requirements, and the Canadian Highway Traffic Act and any provincial equivalents. Bicycles and e-bikes are not exempt from traffic legislation, and you agree to follow all applicable rules of the road as they apply to cyclists.
  • Helmet Use. You must wear a properly fitted and approved helmet at all times while operating a Vehicle. Where local law mandates helmet use, failure to comply may result in fines for which you are solely responsible.
  • No Impairment. You must not operate a Vehicle while under the influence of alcohol, cannabis, controlled substances, prescription medications that impair your ability to operate a vehicle safely, or any other intoxicating substance.
  • Fitness to Ride. Before each Rental Period, you must confirm that you continue to meet all physical and mental fitness requirements set out in Section 3 (Eligibility). You must not commence or continue a Rental Period if you are experiencing drowsiness, fatigue, any unusual physical or mental state, or any condition that could impair your ability to safely operate the Vehicle. You are not aware of any events that may arise during your rental that could cause abrupt distraction from safe operation of the Vehicle.
  • Designated Return. You must return the Vehicle to a designated return area or docking station as specified by the Fleet Operator and indicated on the Platform. Failure to return a Vehicle to a designated area may result in additional fees or penalties.
  • Damage Reporting. You must report any damage to, malfunction of, or safety concern with a Vehicle immediately through the Platform or by contacting the Fleet Operator directly. You must not continue to operate a Vehicle that you know or reasonably suspect to be damaged or unsafe. You must stop using the Vehicle at any time if anything about the Vehicle appears unsafe or becomes out of proper working order.
  • Geofenced Operation Area. You must operate the Vehicle only within the designated geographic operation area ("geofence") as defined by the Fleet Operator and displayed on the Platform. Operating a Vehicle outside the geofenced area may result in automatic speed reduction, Vehicle shutdown, additional fees, or termination of the Rental Period.
  • Pre-Ride Inspection. Before commencing each Rental Period, you must conduct a brief visual inspection of the Vehicle to ensure that the tires, brakes, lights, and frame appear to be in safe working condition. You agree to ride extra cautiously while becoming accustomed to the specific Vehicle. If you identify any issues, you must report them before riding.
  • No Lending. You must not lend, share, or otherwise make the rented Vehicle available to any other person during your Rental Period, whether or not that person is part of your group or party.

6. Prohibited Uses

The following activities are strictly prohibited while using the Platform or operating a Vehicle. Engaging in any prohibited use may result in immediate termination of your account, forfeiture of any deposits or pre-authorizations, and liability for any resulting damages or losses:

  • Racing and Stunts. Using a Vehicle for racing, speed contests, stunt riding, trick riding, jumping, or any other activity that exceeds the intended normal operation of the Vehicle.
  • Exceeding Passenger Capacity. Carrying passengers, children, animals, or cargo in excess of the Vehicle's rated capacity or in a manner not intended by the Vehicle's manufacturer.
  • Tampering. Tampering with, modifying, disassembling, or attempting to alter any part of the Vehicle, including but not limited to the electronic lock mechanism, GPS tracker, motor, battery, firmware, software, or any other electronic or mechanical component.
  • Impaired Operation. Operating a Vehicle while under the influence of alcohol, drugs, or any substance that impairs your judgment, coordination, or ability to operate the Vehicle safely.
  • Subletting or Unauthorized Transfer. Renting a Vehicle on behalf of another person, subletting a Vehicle to a third party, or permitting any person who is not the registered Rider for the active Rental Period to operate the Vehicle.
  • Illegal Activity. Using a Vehicle in connection with any illegal activity, including but not limited to the transportation of contraband, evading law enforcement, or committing any criminal offence.
  • Off-Road Use. Operating a Vehicle on unpaved trails, off-road terrain, or any surface not intended for bicycle or e-bike use, unless the Fleet Operator has expressly authorized such use for the specific Vehicle type.
  • Removal of Equipment. Removing, obscuring, or defacing any labels, identifiers, tracking devices, branding, or safety equipment affixed to the Vehicle.

7. Access & Interference

You agree that you will not use any robot, spider, scraper, or other automated means to access the Platform for any purpose without RideNet's prior written consent. Additionally, you agree that you will not:

  • Take any action that imposes, or may impose, in RideNet's sole discretion, an unreasonable or disproportionately large load on our infrastructure;
  • Interfere or attempt to interfere with the proper working of the Platform or any activities conducted on or through the Services;
  • Bypass, circumvent, or attempt to bypass or circumvent any measures used to prevent or restrict access to the Platform or Services;
  • Collect, harvest, or track the personal information of other users;
  • Upload or transmit viruses, worms, or any other type of malicious code that will or may affect the functionality or operation of the Platform or any related systems; or
  • Use data mining, robots, cookies, or similar data gathering and extraction tools on the Platform without express written permission.

8. Payments & Pricing

All pricing for Vehicle rentals is determined and set by the applicable Fleet Operator. RideNet does not control, set, or guarantee rental prices. Prices displayed on the Platform at the time of booking confirmation are the prices that will apply to your rental, subject to any overage charges, damage fees, or penalties described in these Terms.

  • Payment Processing. All payments are securely processed through Stripe, our third-party payment processor. By providing your payment information, you authorize RideNet and Stripe to charge the applicable fees to your designated payment method. You agree to Stripe's terms of service in addition to these Terms. You understand that your content (not including credit card information) may be transferred unencrypted and involve transmissions over various networks and changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.
  • Taxes. All prices displayed on the Platform are exclusive of applicable taxes unless otherwise stated. Harmonized Sales Tax (HST) and any other applicable taxes will be calculated and added at checkout. You are responsible for all applicable taxes associated with your rental.
  • Pre-Authorization Holds. RideNet and/or the Fleet Operator may place a pre-authorization hold on your payment method at the time of booking or at the commencement of a Rental Period. This hold is a temporary reservation of funds to cover the estimated rental cost and a security deposit. The hold amount will be released or adjusted upon completion of the Rental Period, subject to any additional charges incurred.
  • Overage Charges. If you exceed the booked Rental Period, overage charges will apply at the rate specified by the Fleet Operator at the time of booking. Overage charges will be automatically charged to your payment method on file.
  • Failed Payments. If any charge to your payment method fails, RideNet reserves the right to suspend your account until the outstanding balance is resolved. Repeated payment failures may result in permanent account termination.
  • Pricing Errors. Occasionally there may be information on the Platform that contains typographical errors, inaccuracies, or omissions relating to pricing, descriptions, promotions, or availability. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel bookings if any information on the Platform is inaccurate at any time without prior notice, including after you have confirmed a booking.

9. Cancellation & Refunds

Cancellation and refund policies for Vehicle rentals are established and administered by each Fleet Operator individually. The applicable cancellation policy will be displayed to you at the time of booking and may vary between Fleet Operators. It is your responsibility to review and understand the cancellation policy before confirming a booking.

  • Fleet Operator Policies. Each Fleet Operator may set their own cancellation windows, refund amounts, and refund timelines. RideNet will process refunds as directed by the Fleet Operator in accordance with their stated policy.
  • No-Show Forfeit. If you fail to arrive at the designated pickup location within the time window specified by the Fleet Operator, your booking may be cancelled and any prepaid rental fees or deposits may be forfeited in full, at the Fleet Operator's discretion.
  • RideNet Refund Obligation. RideNet has no independent obligation to issue refunds for rentals. All refund requests must be resolved between the Rider and the Fleet Operator. RideNet may, at its sole discretion, assist in mediating refund disputes, but is under no obligation to do so.
  • Platform Fees. Any non-refundable platform or service fees charged by RideNet will be clearly identified at the time of booking and are not subject to refund except as required by applicable law.

10. Damage & Loss Liability

You are personally liable for any and all damage to, theft of, or loss of a Vehicle that occurs during your Rental Period, regardless of fault or cause, except where such damage, theft, or loss is caused solely by a pre-existing mechanical defect that could not have been identified through a reasonable pre-ride inspection.

  • Repair and Replacement Costs. If a Vehicle is damaged during your Rental Period, you will be charged the reasonable cost of repair. If the Vehicle is damaged beyond economical repair, lost, stolen, or not returned, you will be charged up to the full replacement value of the Vehicle as determined by the Fleet Operator.
  • Payment Method on File. By agreeing to these Terms, you expressly authorize RideNet and the Fleet Operator to charge any repair, replacement, towing, recovery, or administrative costs to the payment method you have on file with the Platform. You agree that such charges may be made without additional prior notice, provided that RideNet will make reasonable efforts to notify you of the amount and reason for the charge.
  • Assessment Period. Damage assessments may not be completed immediately upon return of the Vehicle. You acknowledge that charges for damage or loss may be applied to your payment method for up to thirty (30) days following the end of the Rental Period.
  • Dispute Process. If you dispute a damage or loss charge, you may submit a written dispute to legal@ridenet.ca within seven (7) days of the charge. RideNet will review the dispute in consultation with the Fleet Operator and provide a written response within thirty (30) days.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. RIDENET AND WESTLAKE ADVENTURE SPORTS INC. EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND SECURITY. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM RIDENET OR THROUGH THE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

RIDENET DOES NOT ASSUME ANY RESPONSIBILITY, NOR WILL IT BE LIABLE, FOR ANY DAMAGES TO, OR ANY VIRUSES OR MALICIOUS CODE THAT MAY INFECT YOUR COMPUTER, MOBILE DEVICE, TELECOMMUNICATION EQUIPMENT, OR OTHER PROPERTY, CAUSED BY OR ARISING FROM YOUR ACCESS TO, USE OF, OR BROWSING THE PLATFORM, OR YOUR DOWNLOADING OF ANY INFORMATION OR MATERIALS FROM THE PLATFORM.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RIDENET, WESTLAKE ADVENTURE SPORTS INC., AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, AGENTS, AFFILIATES, PROFESSIONALS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY OF THE FOLLOWING ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR SERVICES, OR THE RENTAL OR OPERATION OF ANY VEHICLE:

  • Personal injury, bodily harm, or death, whether suffered by you or any third party;
  • Damage to or loss of personal property;
  • Mechanical failure, malfunction, or defect of any Vehicle;
  • Adverse weather conditions, road conditions, or environmental hazards;
  • Actions or omissions of Fleet Operators, other Riders, or third parties;
  • Service interruptions, Platform downtime, data loss, or technological failures;
  • Any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business opportunity, or loss of goodwill, regardless of the cause of action or the theory of liability, even if RideNet has been advised of the possibility of such damages.

Sole Remedy. IN THE EVENT OF ANY PROBLEM WITH THE PLATFORM, THE SERVICES, ANY VEHICLE, OR ANY MATERIALS OR INFORMATION PROVIDED THROUGH THE PLATFORM, YOU AGREE THAT YOUR SOLE AND EXCLUSIVE REMEDY IS TO CEASE USING THE PLATFORM AND SERVICES. This sole remedy provision applies to all claims arising out of or related to the Platform, Services, or any Vehicle rental facilitated through the Platform, regardless of the legal theory upon which such claims are based.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF RIDENET AND WESTLAKE ADVENTURE SPORTS INC. FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, OR THE SERVICES EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO RIDENET DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.


12. Assumption of Risk

You expressly acknowledge and agree that the operation of e-bikes and other electric-powered personal mobility devices is inherently dangerous and involves significant risks of serious personal injury, property damage, and even death. By using the Services and renting a Vehicle through the Platform, you voluntarily assume all risks associated with the operation of a Vehicle, including but not limited to the following:

  • Falls, crashes, collisions with other vehicles, pedestrians, or stationary objects;
  • Mechanical failure, brake failure, tire blowouts, electrical malfunctions, or sudden loss of power;
  • Adverse weather conditions including rain, ice, snow, fog, wind, and extreme temperatures;
  • Hazardous road conditions including potholes, gravel, wet surfaces, construction zones, uneven terrain, and debris;
  • Actions or negligence of other road users, including motor vehicle drivers, cyclists, and pedestrians;
  • Inadequate or malfunctioning traffic infrastructure, signage, or lighting;
  • Your own physical condition, fatigue, inexperience, or errors in judgment; and
  • Any other risks inherent in the operation of a Vehicle on public roads, paths, or trails.

You acknowledge that this list is not exhaustive and that other unknown or unanticipated risks may exist. Your participation in any rental constitutes your acknowledgment that you have read this section, fully understand the risks involved, and voluntarily choose to accept those risks.


13. Indemnification

You agree to indemnify, defend, and hold harmless RideNet, Westlake Adventure Sports Inc., and their respective officers, directors, employees, shareholders, agents, affiliates, professionals, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable legal fees and disbursements) arising out of or in connection with:

  • Your use of the Platform or Services, including the rental and operation of any Vehicle;
  • Your breach or alleged breach of any provision of these Terms, including without limitation any breach of the representations and warranties set forth herein;
  • Your violation of any applicable law, regulation, or the rights of any third party, including without limitation any right of privacy, publicity rights, or intellectual property rights;
  • Your violation of any law, rule, or regulation of the Government of Canada, any province or territory thereof, or any other country;
  • Any personal injury, death, or property damage caused by or arising from your operation of a Vehicle;
  • Any User Content you submit or transmit through the Platform, including without limitation any claim or damages arising from defamation, invasion of privacy, or infringement of any third-party right;
  • Any dispute between you and a Fleet Operator or any third party relating to a rental facilitated through the Platform; and
  • Any other party's access to and use of the Platform using your unique username, password, or other security credentials, whether or not authorized by you.

This indemnification obligation shall survive the termination of your account and these Terms.


14. User Content

Where the Platform permits you to submit User Content (including but not limited to reviews, comments, ratings, feedback, suggestions, or other materials), the following provisions apply:

  • Licence Grant. By submitting User Content to the Platform, you grant RideNet a non-exclusive, perpetual, irrevocable, royalty-free, fully paid-up, worldwide, fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, transmit, perform, and display such User Content in any media or technology, whether now known or hereafter discovered, including for promotion, advertising, marketing, and merchandising purposes.
  • User Responsibility. You are solely responsible for your User Content and any consequences resulting from its posting or publication. User Content does not represent the views of RideNet, and RideNet does not vouch for the accuracy or credibility of any User Content.
  • Prohibited Content. You must not submit User Content that is unlawful, threatening, defamatory, libelous, obscene, pornographic, or that infringes any third-party intellectual property or other rights.
  • Right to Remove. RideNet reserves the right, but has no obligation, to monitor, edit, refuse to post, or remove any User Content at any time and without notice, in its sole discretion.

15. Fleet Operator Responsibilities

Fleet Operators who list Vehicles on the Platform agree to the following responsibilities. Riders are entitled to expect that Fleet Operators comply with these obligations, though RideNet does not independently guarantee such compliance:

  • Vehicle Maintenance. Fleet Operators must maintain all listed Vehicles in safe, roadworthy condition, including regular inspection of brakes, tires, lights, batteries, motors, and all electronic and mechanical components. Maintenance records must be kept and made available to RideNet upon request.
  • Safety Compliance. Fleet Operators must ensure that all Vehicles comply with applicable federal, provincial, and municipal safety standards, regulations, and certification requirements for electric bicycles and personal mobility devices.
  • Insurance. Fleet Operators must maintain adequate commercial liability insurance covering all Vehicles listed on the Platform and all rental activities conducted through the Platform, in amounts not less than those required by applicable law or as specified in the Fleet Operator Agreement.
  • Accurate Pricing. Fleet Operators must ensure that all pricing, fees, and charges displayed on the Platform are accurate, current, and clearly communicated to Riders prior to booking confirmation.
  • Local Regulations. Fleet Operators are solely responsible for obtaining all necessary permits, licences, and approvals required to operate a Vehicle rental business in their jurisdiction, and must comply with all applicable local regulations, including those governing parking, operation zones, and hours of operation.

16. Intellectual Property

The Platform, including all software, code, design, text, graphics, logos, trademarks, service marks, trade names, images, audio, video, and other content and materials (collectively, "RideNet Content"), is the exclusive property of Westlake Adventure Sports Inc. and/or its licensors and is protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, RideNet grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform and Services for your personal, non-commercial use (or, in the case of Fleet Operators, for the purposes of listing and managing Vehicle rentals). This licence does not include the right to:

  • Copy, modify, distribute, sell, lease, or create derivative works based on the Platform or any RideNet Content;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform;
  • Use any data mining, robots, scraping, or similar data gathering or extraction methods on the Platform;
  • Use RideNet's name, trademarks, or logos without prior written consent; or
  • Any collection and use of any product listings, descriptions, or prices for any resale or commercial purpose.

Any unauthorized use automatically terminates the permissions and licences granted by RideNet to you.


17. Third-Party Links

From time to time, the Platform may contain links to websites, applications, or services that are not owned, operated, or controlled by RideNet or its affiliates ("Third-Party Links"). All such Third-Party Links are provided solely as a convenience to you. If you access a Third-Party Link, you will leave the Platform.

Neither RideNet nor any of its affiliates are responsible for any content, materials, or other information located on or accessible through any Third-Party Links. Neither RideNet nor any of its affiliates endorse, guarantee, or make any representations or warranties regarding any third-party websites, including any content, materials, or other information accessible through Third-Party Links, or any harm or effect to you resulting from your use of any third-party websites. If you decide to access any third-party websites via Third-Party Links, you do so entirely at your own risk.


18. Dispute Resolution

Governing Law. These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, that cannot be resolved through good-faith negotiation within thirty (30) days of written notice of the dispute, shall be finally resolved by binding arbitration administered in accordance with the Arbitration Act, 1991 (Ontario). The arbitration shall take place in the Province of Ontario. The language of the arbitration shall be English. The decision of the arbitrator shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST RIDENET OR WESTLAKE ADVENTURE SPORTS INC. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void, and the dispute shall be resolved by the courts of the Province of Ontario.

Exceptions. Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.


19. Release

In the event that you have a dispute with one or more Fleet Operators, other Riders, or any other users of the Platform, you hereby release RideNet, Westlake Adventure Sports Inc., and their respective officers, directors, agents, professionals, subsidiaries, joint ventures, and employees from any and all claims, demands, and damages (actual or consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. You acknowledge that you may discover facts different from or in addition to those you now know or believe to be true with respect to any dispute, and you agree that this release shall remain effective in all respects regardless of any such discovery.


20. Force Majeure

Neither RideNet nor you shall be responsible for damages or for delays or failures in performance resulting from acts or occurrences beyond the affected party's reasonable control, including, without limitation: fire, lightning, explosion, power surge or failure, water damage, acts of God, war, revolution, civil commotion, or acts of civil or military authorities or public enemies; any law, order, regulation, ordinance, or requirement of any government or legal body; labor unrest, including strikes, slowdowns, picketing, or boycotts; inability to secure raw materials, transportation facilities, or fuel; energy shortages; epidemic, pandemic, or public health emergency; internet or telecommunications outages; cyberattacks; or acts or omissions of third-party service providers or common carriers.


21. Termination

Termination by RideNet. RideNet reserves the right to suspend, restrict, or permanently terminate your account and access to the Platform at any time, with or without notice, for any reason, including but not limited to: violation of these Terms; engagement in prohibited uses; non-payment of fees; fraudulent or illegal activity; conduct that endangers the safety of others; any behavior that RideNet, in its sole discretion, deems harmful to the Platform, other users, or Fleet Operators; or our inability to verify or authenticate any information you provide to us. We may also block your access to the Platform if we believe that your actions may cause financial loss or legal liability for RideNet, you, or other users.

Termination by Rider. You may close your account at any time by contacting us at legal@ridenet.ca or through the account settings on the Platform. Account closure does not relieve you of any outstanding payment obligations, damage liabilities, or other obligations incurred prior to closure.

Effect of Termination. Upon termination, your right to access and use the Platform and Services will immediately cease. Any provisions of these Terms that by their nature should survive termination shall continue in full force and effect, including but not limited to Sections 10 (Damage & Loss Liability), 11 (Limitation of Liability), 12 (Assumption of Risk), 13 (Indemnification), 16 (Intellectual Property), 18 (Dispute Resolution), 19 (Release), and 22 (Severability & Entire Agreement).


22. Severability & Entire Agreement

Severability. If any provision of these Terms is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent of the provision. If such modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

Entire Agreement. These Terms, together with the Privacy Policy, Rental Agreement, Rider Waiver & Liability Release, End User License Agreement, Safe Riding Guide, and any applicable Fleet Operator Agreement and supplementary terms presented to you through the Platform, constitute the entire agreement between you and RideNet with respect to the subject matter hereof and supersede all prior or contemporaneous communications, proposals, agreements, and understandings, whether written or oral, between you and RideNet relating to the same subject matter. In the event of a conflict or inconsistency between these documents, the order of precedence set forth in the EULA (Document Hierarchy) shall apply.

No Verbal Modifications. No employee, agent, representative, Fleet Operator, or contractor of Westlake Adventure Sports Inc. or RideNet has authority to modify these Terms verbally. Any modification must be in writing. You must not rely on any verbal statement made by any person affiliated with the Company as a modification, waiver, or amendment of any provision of these Terms.

Waiver. The failure of RideNet to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by RideNet.

Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of RideNet. RideNet may assign these Terms, in whole or in part, without restriction and without notice to you.

Amendments. RideNet reserves the right to modify or update these Terms at any time. If we make material changes, we will provide notice through the Platform or by email to the address associated with your account. Your continued use of the Platform after such notice constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Platform and close your account. Unless we provide you with specific notice, no changes to these Terms will apply retroactively.
